- Not use our Services for any illegal or unauthorized purpose

4. Intellectual Property
Our IP: All content on this Website, including but not limited to text, graphics, logos, images, and software, is the property of WebXL and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
Client IP: Upon full payment, clients receive ownership of custom code and designs created specifically for their project, unless otherwise specified in the project agreement. WebXL retains the right to use generic, reusable code components and may showcase completed projects in our portfolio unless otherwise agreed.
Third-Party IP: Projects may include third-party software, libraries, or assets that are subject to their own licensing terms. Clients are responsible for complying with such terms.
5. Payment Terms
- Payment terms will be specified in the project proposal or agreement
- Unless otherwise agreed, a deposit is required before work begins
- Late payments may result in project delays or suspension
- All prices are quoted in the currency specified in the proposal
- Clients are responsible for any applicable taxes
6. Project Changes and Scope
Any changes to the agreed project scope may require additional time and fees. Change requests must be submitted in writing and will be evaluated for impact on timeline and cost before approval. WebXL reserves the right to adjust timelines and pricing for scope changes.
7. Warranties and Disclaimers
Our Warranty: WebXL warrants that Services will be performed in a professional and workmanlike manner. If any defects are identified within 30 days of delivery, we will correct them at no additional cost.
Disclaimer: Except as expressly stated herein, WebXL makes no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific results, rankings, or business outcomes.
8. Limitation of Liability
To the maximum extent permitted by law, WebXL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to these Terms or the use of our Services.
WebXL's total liability for any claim arising from these Terms or Services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This includes, but is not limited to, business plans, technical specifications, customer data, and financial information.
10. Termination
Either party may terminate a project agreement by providing written notice. Upon termination:
- Client shall pay for all work completed up to the termination date
- WebXL will provide all completed work and materials to the client
- Any deposits or advance payments may be retained for work already performed
- Confidentiality obligations survive termination
11. Indemnification
You agree to indemnify and hold harmless WebXL, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services or violation of these Terms.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from these Terms or Services shall be subject to the exclusive jurisdiction of the courts in Israel.
13. Modifications to Terms
WebXL reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Website. Continued use of the Website or Services after changes constitutes acceptance of the modified Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

These Terms, together with any project-specific agreements or proposals, constitute the entire agreement between you and WebXL regarding the subject matter herein and supersede all prior agreements and understandings.
